1. Introduction

These Terms and Conditions ("Terms") govern your use of Keystone equipment management software and services ("Service") operated by Pim Steijns Eenmanszaak ("we," "our," or "us").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.

3. Service Description

Keystone provides cloud-based equipment management software that allows users to:

• Manage equipment inventory and listings
• Create and customize embeddable widgets
• Capture and manage leads
• Generate analytics and reports
• Integrate with websites and platforms

4. Account Registration

To use our Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Keep your account credentials secure
• Accept responsibility for all activities under your account
• Be at least 18 years old or have parental consent

5. Subscription Plans and Pricing

We offer various subscription plans with different features and pricing:

• Basic Plan: €49/month - Up to 50 equipment listings
• Pro Plan: €99/month - Up to 50 equipment listings
• White Label Plan: €199/month - Unlimited listings

All plans include a 14-day free trial period. During the trial, you can use all features of your chosen plan without charge. After the trial period, your subscription will automatically convert to a paid subscription unless cancelled.

All prices are in Euros and include applicable VAT. Prices may be subject to change with 30 days' notice.

6. Payment Terms

Payments are processed through Paddle, our authorized payment processor. By subscribing, you authorize Paddle to charge your payment method for the applicable fees.

• Billing occurs monthly based on your plan
• All new subscriptions include a 14-day free trial period
• Payment method is required to start a trial, but no charges occur during the trial
• After the trial period, your subscription automatically converts to a paid subscription
• You can cancel at any time during the trial without charge
• All fees are non-refundable except as stated in our Refund Policy
• Failed payments may result in service suspension
• You are responsible for all taxes associated with the Service

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit harmful, offensive, or inappropriate content
• Attempt to gain unauthorized access to our systems
• Interfere with the Service's operation
• Use the Service for illegal activities
• Resell or redistribute the Service without permission

8. User Content

You retain ownership of content you upload to the Service. By uploading content, you grant us a license to:

• Store and process your content to provide the Service
• Display your content through our widgets and platforms
• Use your content for service improvement (anonymized)

You are responsible for ensuring you have the right to upload and use all content.

9. Intellectual Property

The Service and its original content, features, and functionality are owned by Pim Steijns Eenmanszaak and are protected by international copyright, trademark, and other intellectual property laws.

10. Service Availability

We strive to maintain 99.9% uptime but cannot guarantee uninterrupted service. We may temporarily suspend the Service for maintenance, updates, or technical issues.

Scheduled maintenance will be announced in advance when possible. We are not liable for service interruptions due to:

• Planned maintenance
• Third-party service failures
• Force majeure events
• Acts beyond our reasonable control

10.1 Force Majeure

We shall not be liable for any failure or delay in performance under these Terms which is due to force majeure, including but not limited to:

• Natural disasters, fires, floods, earthquakes
• War, terrorism, riots, civil unrest
• Government actions, laws, regulations, or restrictions
• Strikes, labor disputes, or shortages
• Internet or telecommunications failures
• Third-party service provider failures

10.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We may add, remove, or modify features, functionality, or content. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

11. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including GDPR. By using the Service, you consent to such processing.

12. Warranties and Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to:

• Merchantability and fitness for a particular purpose
• Uninterrupted or error-free operation
• Accuracy, reliability, or completeness of content
• Security or freedom from viruses or harmful components

We do not warrant that the Service will meet your requirements or that the operation of the Service will be uninterrupted or error-free.

13. Limitation of Liability

To the maximum extent permitted by law, our liability is limited to the amount you paid for the Service in the 12 months preceding the claim. We are not liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages caused by third-party services
• Force majeure events
• Data loss or corruption
• Service interruptions or downtime

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.

14. Indemnification

You agree to indemnify and hold harmless Pim Steijns Eenmanszaak from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

15. Termination

You may cancel your subscription at any time through your account settings. We may terminate your account for:

• Violation of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• Extended periods of inactivity

Upon termination, your access to the Service will cease, and we may delete your data after 30 days.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the Netherlands. Any disputes shall be subject to the exclusive jurisdiction of the courts of the Netherlands.

17. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Continued use of the Service constitutes acceptance of the modified Terms.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
